Please read these Terms of Service carefully before using PsychFlo SpendOS. These terms form a legally binding agreement between you and PsychFlo Limited.
By accessing or using PsychFlo SpendOS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including Pro subscribers and Enterprise subscribers.
PsychFlo SpendOS provides an AI-powered procurement intelligence platform that helps organisations analyse vendor spend, manage contracts, identify savings opportunities, and automate negotiation workflows. The Service includes web application access, AI analysis features, contract intelligence, renewal risk scoring, and API access as specified in your subscription plan.
PsychFlo SpendOS offers Pro and Enterprise subscription plans, billed monthly or annually. Annual subscriptions are discounted. You may cancel at any time from Settings > Billing. No refunds are issued for partial billing periods unless required by applicable law.
You agree not to: (a) reverse-engineer, decompile, or attempt to extract source code from the Service; (b) share your account credentials with unauthorised users; (c) upload data you do not have the right to share; (d) use the Service to develop a competing product; (e) attempt to circumvent usage limits or security controls; or (f) use automated scripts to scrape or extract data at scale without prior written consent.
You retain full ownership of all data you upload to PsychFlo SpendOS, including vendor contracts, invoices, and spend records. PsychFlo does not use your data to train AI models. We process your data solely to provide the Service as described in our Privacy Policy. Upon account termination, you may export your data within 30 days, after which it is permanently deleted from our systems.
The Service uses artificial intelligence to generate analysis, negotiation language, contract redlines, savings recommendations, and other outputs. AI-generated content is provided for informational and operational purposes only. PsychFlo SpendOS makes no warranty that AI outputs are accurate, complete, or suitable for any specific legal, financial, or commercial purpose. You are responsible for reviewing all AI-generated content before acting on it.
Both parties agree to maintain the confidentiality of information designated as confidential. PsychFlo treats all customer data as confidential. You agree not to disclose proprietary PsychFlo SpendOS methodologies, pricing models, benchmark data, or platform architecture to third parties without prior written consent.
PsychFlo SpendOS and its underlying technology, AI models, benchmark datasets, and platform design are the exclusive intellectual property of PsychFlo Limited. Nothing in these Terms grants you any ownership rights in the Service. All rights not expressly granted are reserved by PsychFlo Limited.
To the maximum extent permitted by law, PsychFlo SpendOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. PsychFlo's total liability shall not exceed the fees paid in the three months preceding the claim.
PsychFlo SpendOS targets 99.9% uptime for Enterprise plan subscribers and commercially reasonable availability for Pro plan subscribers. Planned maintenance is announced at least 24 hours in advance. PsychFlo is not liable for downtime caused by third-party services, force majeure events, or factors outside our reasonable control.
Either party may terminate the subscription at any time. PsychFlo SpendOS may suspend or terminate your account immediately if you breach these Terms. Upon termination, your access to the Service ceases and your data is retained for 30 days for export, then permanently deleted. Provisions relating to data ownership, intellectual property, liability, and governing law survive termination.
PsychFlo SpendOS reserves the right to update these Terms at any time. Material changes will be communicated via email and in-app notification at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
